1. Sponsor and Agreement to Rules

The Parivas New York Show Giveaway (the "Giveaway") is sponsored by Parivas LLC, 3711 Long Beach Boulevard, Suite 905, Long Beach, CA 90807 ("Parivas" or "Sponsor"). These Official Rules are a binding agreement between each entrant and Sponsor. By entering, you confirm you have read and agree to these Official Rules, including the prize restrictions in Section 6.

These Official Rules control over any conflicting statement in signage, social media posts, or other Giveaway materials.

2. Eligibility

•          Open only to legal residents of the 50 United States and the District of Columbia who are at least 18 years old (or the age of majority in their state of residence, if higher) at the time of entry.

•          Not eligible: employees, officers, directors, members, and contractors of Sponsor, of Worn & Wound, and of any agency involved in the Giveaway, and the immediate family members (spouse, parents, siblings, children) and household members of each.

•          Void outside the United States and wherever prohibited or restricted by law.

•          Admission to Wind Up NYC 26 is not required to enter. A free method of entry is available through Instagram or Tik Tok (Section 3).

3. Entry Period and How to Enter

The Giveaway begins at 10:00 AM Eastern Time (ET) on October 11, 2026, and ends at 5:00 PM ET on October 20, 2026 (the "Entry Period"). Only entries submitted and received during the Entry Period are valid and will be counted; entries submitted before it begins or after it ends are void. Sponsor's clock is the official timekeeper. There are only two ways to enter:

1.       In person. Visit the Parivas booth 160 at Wind Up NYC 2026, Center415, New York, NY 10016, during show hours within the Entry Period. Complete one official digital entry form with your email address on the official Parivas iPad or on a device held by a Parivas representative at the booth. Entries made on any other device or by any other means are not accepted. Entry available only at the booth; photocopies, mailed, or dropped-off entries are not accepted.

2.       Instagram. During the Entry Period, from your own Instagram account: (a) follow @parivas_watches; and (b) Direct Message @Jared_Woods on Tik Tok or Direct Message @Parivas_Watches on Instagram. Your account must allow Sponsor to view it, at or before the time of the drawing so eligibility can be verified.

No other method of entry (email, website, mail, or third-party account) will be accepted. Entries must be submitted by the entrant personally. An Instagram entry is deemed made by the authorized holder of the account, meaning the natural person assigned the account by Instagram.

4. Entry Limits and Invalid Entries

•          Two entries per person total, only via the means stated in Section 3. Entering both in person and on Instagram constitutes two chances.

•          If Sponsor determines a person has submitted, or attempted to submit, more than one entry in person or via instagram, all of that person's entries may be voided at the discretion of the Sponsor.

•          Entries made through multiple, fake, purchased, borrowed, or shared accounts, or through bots, scripts, or other automated means, are void.

•          Incomplete, illegible, or late entries are void. Comments that are offensive, defamatory, infringing, or otherwise inappropriate, as determined by Sponsor, are void.

•          Two people in the same household may each enter, provided each uses their own name, email details, and Instagram account.

•          Sponsor is not responsible for entries lost, misplaced, or not recorded because of human error, Instagram outages, or technical failure. All entries become Sponsor's property and will not be returned.

5. The Prize

One (1) prize will be awarded: a custom aftermarket engraved Parivas watch case and matching caseback (together, the "Prize Case"), 316L stainless steel, 41 mm, engraved with the Parivas Logo and Wind Up NYC 2026 Logo. Approximate retail value (ARV): $550. Total ARV of all prizes: $550. One prize will be awarded in this Giveaway, which runs only during the Entry Period stated in Section 3, at the New York location named there and on Instagram.

What the Prize is not.
The Prize Case is a commemorative show-token and a component only. It does not include a movement, dial, hands, crown, box, papers, or warranty card. It is not a functioning timepiece, not a finished Parivas watch, and is not a product Parivas sells.

•          The Prize is awarded "as is." To the fullest extent permitted by law, Sponsor makes no warranty of any kind, including fitness for use with any movement.

•          No cash equivalent, substitution, or transfer of the right to claim the Prize, except Sponsor may substitute a prize of equal or greater value if the Prize Case becomes unavailable.

•          Odds of winning depend on the number of eligible entries received.

6. Prize Use, Authenticity, and Resale Restrictions

The winner may keep, wear, display, gift, or resell the Prize Case, but may never present it, or any watch built with it, as a genuine Parivas watch. This Section 6 survives the end of the Giveaway and delivery of the Prize, binds the winner permanently, and is a condition of receiving the Prize.

6.1 Not a Parivas watch.
Parivas designs, assembles, regulates, tests, and warrants its complete watches. Any watch assembled with the Prize Case (an "Assembled Watch") is not a Parivas watch. It is not made, assembled, modified, commissioned, inspected, tested, certified, warranted, approved, or endorsed by Parivas.

6.2 Permanent markings.
The Prize Case bears a unique engraving "Parivas x Wind Up NYC 26". The winner will not remove, alter, obscure, polish out, cover, or re-engrave any marking, serial number, or Parivas name or logo on the Prize Case, or have anyone else do so.

6.3 Registry.
Sponsor will record the unique engraving in its authentication records as a free giveaway case only, never sold, assembled, or fitted with a movement by Parivas. Sponsor may confirm that status publicly and to any buyer, auction house, dealer, marketplace, or authentication service that asks.

6.4 Prohibited claims.
The winner, and anyone acting for the winner, will not list, advertise, describe, or sell the Prize Case or an Assembled Watch as:

•          a Parivas watch, or a genuine, authentic, official, or factory Parivas timepiece;

•          a Parivas "one-of-one," "1/1," "unique piece," "pièce unique," prototype, sample, special order, or limited edition;

•          made, assembled, modified, commissioned, approved, certified, or serviced by Parivas;

•          containing a Parivas movement or a movement installed or selected by Parivas; or

•          anything else suggesting Parivas origin, sponsorship, or endorsement beyond the disclosure in Section 6.5.

6.5 Required disclosure on resale.
Any listing, offer, or sale of the Prize Case or an Assembled Watch must state clearly and conspicuously, in the listing itself: "Case and caseback received free as a Parivas show giveaway prize. The movement and all other components were not supplied, installed, or authorized by Parivas. This is not a Parivas-made watch and carries no Parivas warranty or certificate." The winner will give a copy of this Section 6 to any buyer or transferee and ask them to follow it.

6.6 Parivas right of first refusal.
Before selling, trading, consigning, auctioning, or otherwise transferring for value the Prize Case or an Assembled Watch, the winner must first offer it to Parivas in writing at Concierge@parivas.com, stating the price, the terms, and the buyer's identity if known. Parivas has 21 days after receiving that notice to buy it at the same price and on the same terms. If Parivas declines or does not respond in time, the winner may complete that sale within 60 days at no lower price and on no better terms for the buyer; otherwise this offer process starts again. Transfers without payment (such as a gift) do not trigger this right, but the recipient must receive a copy of this Section 6. Within 7 days after any completed sale, the winner will send Parivas the buyer's name and the listing link so Parivas can update its serial-number records. Any sale made without first offering it to Parivas is a breach of this Section 6.

6.7 No service, papers, or warranty.
Parivas will not service, regulate, warrant, authenticate, accept in trade, or issue a box, papers, or certificate for any Assembled Watch. Sponsor will give the winner a Prize Acknowledgment card stating the Prize is a case only. Any other Parivas certificate, warranty card, or papers presented with the Prize Case or an Assembled Watch are not genuine.

6.8 No license.
No license is granted to any Parivas name, logo, trademark, trade dress, or design, except the limited right to state the facts in Section 6.5. Parivas reserves all rights, including under the Lanham Act (15 U.S.C. §§ 1114 and 1125(a)) and state law, including New York General Business Law §§ 349 and 350.

6.9 Remedies.
If the winner breaches this Section 6, Sponsor may, in addition to any other remedy:

1.       publicly identify the item by serial number as not a genuine Parivas watch;

2.       notify marketplaces, auction houses, dealers, and buyers, and submit takedown requests;

3.       seek an injunction; the winner agrees a breach would cause Parivas irreparable harm that money alone cannot fix;

4.       recover damages, including any amount the winner received from a sale made in breach, plus reasonable attorneys' fees and costs; and

5.       require the winner to defend and indemnify Parivas against any claim by a buyer or third party arising from the breach.

6.10 Signed acceptance.
Before delivery, the winner must sign a Prize Acceptance and Use Agreement restating this Section 6. If the winner does not sign, the Prize is forfeited.

7. Winner Selection, Notification, and Delivery

7.1 Drawing.
On October 20, 2026 at 7:00PM ET Sponsor will randomly select one potential winner from all eligible entries received through both methods, combined into one pool. If the selected winner does not respond by 3 days after Sponsor's decisions are final on all Giveaway matters.

7.2 Notification.
In-person and Instagram entrants are notified by email. Parivas will never ask for payment, a card number, a password, or a shipping fee to claim the Prize. Messages from any other account are not from Parivas.

7.3 Claiming.
The potential winner must respond within 72 hours of notification and, within 7 days, sign and return a one-page Winner Form that includes: (a) confirmation that the winner is 18 or older, a U.S. resident, not excluded under Section 2, and entered up to twice; (b) consent to publicity under Section 8.2 (where lawful) and the release in Section 9.2; and (c) agreement to the prize restrictions in Section 6. The winner must also verify their identity with a valid government-issued photo ID, either on a brief video call or by sending a photo with everything except name and date of birth covered. The name on the ID must match the Winner Form, and the winner must show they control the email address or Instagram account used to enter. Sponsor will delete any ID image once the Prize is delivered.

7.4 Forfeit and alternates.
If the potential winner is ineligible, does not respond or return documents on time, or the notification is returned undeliverable, the Prize is forfeited. Sponsor may then select an alternate from the remaining eligible entries, up to two alternates. After that, the Prize will go unawarded.

7.5 Delivery.
The Prize will be shipped free, insured, with signature required, to the winner's U.S. street address within 2 weeks after verification, or handed over in person by arrangement. No PO boxes or freight forwarders. Risk of loss passes to the winner on delivery.

8. Taxes, Publicity, Instagram, and Privacy

8.1 Taxes.
The winner is responsible for all federal, state, and local taxes on the Prize. Because the ARV is under $600, Sponsor does not expect to issue an IRS Form 1099, but the winner must still report the Prize as required by law.

8.2 Publicity.
Except where prohibited by law, by accepting the Prize the winner consents to Sponsor using their name, city and state, Instagram handle, photos and video taken at the event, and statements about the Giveaway, in any media, without further compensation or approval.

8.3 Instagram release.
This Giveaway is in no way sponsored, endorsed, administered by, or associated with Instagram, Tik Tok, or Meta Platforms, Inc. Each entrant releases Tik Tok, Instagram and Meta from all liability related to the Giveaway. Questions or complaints go to Sponsor, not Instagram. Entrants must follow Instagram's Terms of Use.

8.4 Privacy.
Sponsor collects entrant information to run the Giveaway, verify eligibility, contact the winner, and meet legal requirements. Sponsor will send marketing to entrants who submit entries to the provided email address. Sponsor does not sell entrant information. 9. General Terms

9.1 Disqualification.
Sponsor may disqualify anyone who tampers with the entry process, provides false information, harasses staff or other entrants, or acts in a disruptive or unsportsmanlike way, at the booth or online.

9.2 Release and limitation of liability.
To the fullest extent permitted by law, entrants release Sponsor, Worn & Wound, and their respective owners, employees, and agents from any liability for injury, loss, or damage arising from participation in the Giveaway or acceptance, possession, use, modification, or resale of the Prize, including any movement or work installed by anyone other than Parivas. Sponsor is not responsible for technical failures, lost or misdirected entries, or printing errors.

9.3 Cancellation or changes.
If the event is cancelled or shortened, or the Giveaway is compromised by fraud, technical failure, or any cause beyond Sponsor's control, Sponsor may modify, suspend, or cancel the Giveaway and, if it does, award the Prize from eligible entries received before the event. Sponsor may correct typographical errors and amend these Official Rules as required by law.

9.4 Disputes.
These Official Rules are governed by the laws of the State of California, without regard to conflict-of-law rules. Any dispute will be resolved individually, without class action, exclusively in the state or federal courts located in Los Angeles, California, except that Sponsor may seek injunctive relief under Section 6 in any court with jurisdiction. Except for claims under Section 6, an entrant's remedies are limited to actual out-of-pocket costs of entering, and entrants waive any right to attorneys' fees, punitive, incidental, or consequential damages.

9.5 Severability.
If any provision is held invalid, the rest remains in effect. Sponsor's failure to enforce a term is not a waiver.

9.6 Winner's name and rules.
To request the winner's name (available after October 20, 2026) or a copy of these Official Rules, email Concierge@parivas.com with the subject "NY Giveaway Winner”, or mail a request to Sponsor's address in Section 1.
